Corporate Veil

We have provided corporate veil analyses in a variety of cases. In such cases, we evaluated:

  • Defendant corporation’s early 20th century ownership and management of a mining subsidiary, which is now a “Super Fund” clean-up site.
  • Defendant’s formation of a new corporation capitalized by the contribution of operating assets and customers which had been preferentially liquidated out of a prior corporation, without compensation or payment for the benefit of its creditors.
  • The personal – corporate relationship of an individual bankruptcy petitioner to his corporation. The court found that the corporation and petitioner defrauded a senior citizen investor, pierced the corporate veil and found its shareholder/officer (the petitioner) responsible for the corporation’s debts, and found that the debt due the adversary action plaintiff was non-dischargeable.
